1. Program Overview

The Vertex Labs Affiliate Program allows approved affiliates to earn commissions by referring qualified customers to Vertex Labs through a unique referral link, personal coupon code, or other approved tracking method provided by Vertex Labs.

Each approved affiliate may receive access to an affiliate portal, tracking link, unique coupon code, approved promotional assets, reporting tools, and commission records. Participation in the program does not create an employment, agency, franchise, joint venture, partnership, or representative relationship between the affiliate and Vertex Labs.

Affiliates act as independent contractors and are solely responsible for their own content, marketing activity, tax obligations, disclosures, compliance, and business practices.

2. Eligibility and Approval

Participation in the Vertex Labs Affiliate Program is subject to manual review and approval. Vertex Labs may approve or reject any application for any lawful reason, including but not limited to traffic quality, brand alignment, compliance risk, promotional methods, content quality, or prior conduct.

• Affiliates must provide accurate registration information.
• Affiliates must maintain a valid email address and payment method.
• Affiliates must comply with all applicable laws, regulations, advertising standards, platform rules, and Vertex Labs policies.
• Vertex Labs may request additional information before approving or paying an affiliate.
• Affiliate approval may be revoked at any time if program terms are violated.

4. Qualified Purchases

A qualified purchase is a completed Vertex Labs order that is properly tracked to an approved affiliate, paid in full by the customer, not cancelled, not refunded, not charged back, not flagged as fraudulent, and otherwise compliant with these terms.

Unless otherwise agreed in writing, commissions are calculated on the eligible order value after discounts and before any excluded amounts. Vertex Labs may exclude taxes, shipping fees, payment processing fees, refunded amounts, chargebacks, replacement orders, store credit adjustments, fraudulent orders, duplicate orders, and any other non-commissionable amounts from commission calculations.

Non-Commissionable Activity

• Cancelled orders.
• Refunded or partially refunded orders, to the extent refunded.
• Chargebacks, payment disputes, or suspected fraudulent transactions.
• Self-referrals, personal purchases, or purchases made by the affiliate using their own code, unless specifically approved by Vertex Labs in writing.
• Orders generated through misleading claims, prohibited content, unauthorized advertising, spam, coupon abuse, or policy violations.
• Orders where tracking is blocked, altered, manipulated, or not properly recorded by the affiliate system.

5. Monthly Payouts

Affiliate commissions are reviewed and paid on a monthly basis. Payments are made through the affiliate’s preferred payment method when that method is available, supported by Vertex Labs, and eligible for use.

Affiliates are responsible for providing accurate payout details. Vertex Labs is not responsible for payment delays caused by inaccurate payment information, missing tax information, banking restrictions, payment processor issues, account limitations, compliance review, or suspected fraud.

• Payout frequency: monthly.
• Payment method: affiliate’s preferred method, subject to availability and approval.
• Commissions may be held while orders are pending, under review, disputed, refunded, or subject to chargeback risk.
• Vertex Labs may offset future commissions against refunds, chargebacks, duplicate payments, overpayments, or reversed transactions.
• Affiliates are solely responsible for taxes, reporting, and any fees charged by their selected payment provider.

6. Affiliate Coupon Codes and Links

Vertex Labs may provide each approved affiliate with a unique coupon code, referral link, or portal access. These tracking tools remain the property of Vertex Labs and may be modified, disabled, reassigned, or removed at any time.

• Affiliates may only use approved links, codes, creatives, and promotional language.
• Affiliates may not alter tracking links in a way that interferes with attribution or reporting.
• Affiliates may not create unauthorized coupons, fake offers, expired discounts, misleading landing pages, or false scarcity claims.
• Affiliates may not publish codes on coupon farms, deal aggregators, browser extension platforms, or cashback networks without written approval from Vertex Labs.
• Vertex Labs may change coupon values, coupon restrictions, tracking rules, or promotional terms at any time.

8. Advertising, Disclosure, and Promotional Conduct

Affiliates are responsible for ensuring that all promotional content complies with applicable advertising laws, platform policies, endorsement rules, affiliate disclosure requirements, and Vertex Labs brand standards.

• Affiliates must clearly disclose when they may earn a commission from a link or code.
• Affiliates may not imply that they are employees, owners, official representatives, medical advisors, or agents of Vertex Labs.
• Affiliates may not use spam, misleading ads, fake reviews, fake testimonials, deceptive redirects, cloaked links, forced clicks, cookie stuffing, or unauthorized retargeting.
• Affiliates may not bid on Vertex Labs brand terms, misspellings, domain variations, or trademarked terms in paid search without written approval.
• Affiliates may not run ads that send traffic directly to Vertex Labs using the affiliate’s tracking link without written approval.
• Affiliates may not make pricing, shipping, quality, testing, or availability claims unless those claims are accurate and currently approved by Vertex Labs.

9. Brand Assets and Intellectual Property

Vertex Labs may provide approved affiliates with logos, images, product references, copy, banners, and other brand assets. These assets may only be used to promote Vertex Labs in accordance with these terms.

• All Vertex Labs names, logos, marks, content, images, and brand assets remain the property of Vertex Labs or their respective owners.
• Affiliates receive a limited, revocable, non-exclusive, non-transferable permission to use approved assets solely for affiliate promotion.
• Affiliates may not modify logos, create confusingly similar branding, register domains or social handles using Vertex Labs marks, or imply ownership of the Vertex Labs brand.
• Permission to use brand assets ends immediately upon termination from the affiliate program.

10. Fraud, Abuse, and Reversal Rights

Vertex Labs reserves the right to investigate affiliate activity and withhold, reverse, or deny commissions connected to suspicious, abusive, fraudulent, misleading, or non-compliant activity.

• Coupon abuse or unauthorized coupon distribution.
• Artificial traffic, bots, fake clicks, forced clicks, or cookie stuffing.
• Self-referrals or coordinated purchases intended to generate commissions improperly.
• Misleading content, false claims, fake reviews, or prohibited product claims.
• Attempts to manipulate the tracking system, customer attribution, or order records.
• Any activity that harms Vertex Labs’ brand, compliance position, payment processing, customer trust, or legal standing.

11. Termination

Vertex Labs may suspend or terminate an affiliate account at any time, with or without notice, if the affiliate violates these terms, creates compliance risk, engages in fraudulent or misleading activity, harms the brand, or for any other lawful business reason.

Upon termination, the affiliate must immediately stop using Vertex Labs links, codes, logos, content, creatives, and brand assets. Any unpaid commissions may be reviewed, adjusted, withheld, or paid at Vertex Labs’ discretion depending on order status, compliance, fraud review, and these terms.

12. Affiliate Privacy Policy

Vertex Labs collects and processes affiliate information in order to operate the affiliate program, track referrals, review applications, provide portal access, calculate commissions, process payouts, prevent fraud, enforce compliance, and communicate with affiliates.

Information Sharing

Vertex Labs may share affiliate information with service providers who help operate the affiliate program, including website hosting providers, WooCommerce tools, affiliate tracking software, payment processors, fraud-prevention tools, accounting tools, legal advisors, and compliance service providers.

Vertex Labs does not sell affiliate personal information to advertisers. Information may be disclosed when required by law, to enforce these terms, to protect Vertex Labs’ rights, to investigate fraud, or in connection with a business transfer such as a merger, acquisition, restructuring, or sale of assets.

Data Retention

Affiliate information may be retained for as long as necessary to operate the program, maintain accurate financial records, comply with legal or tax obligations, resolve disputes, prevent fraud, enforce agreements, and protect Vertex Labs’ legitimate business interests.

Data Security

Vertex Labs uses reasonable administrative, technical, and organizational measures designed to protect affiliate information. However, no online system, website, database, or transmission method can be guaranteed to be completely secure.

Affiliate Responsibilities

Affiliates are responsible for keeping login credentials secure, maintaining accurate contact and payout information, and notifying Vertex Labs if they believe their account, tracking link, coupon code, or payment information has been compromised.

13. Changes to These Terms

Vertex Labs may update, modify, or replace these Affiliate Terms and Privacy Policy at any time. Updated terms may be posted on this page or otherwise communicated to affiliates. Continued participation in the affiliate program after changes are posted or communicated means the affiliate accepts the updated terms.

14. Limitation of Liability

To the fullest extent permitted by law, Vertex Labs will not be liable for indirect, incidental, consequential, special, punitive, exemplary, or lost-profit damages arising from or related to the affiliate program, tracking errors, payout delays, rejected commissions, account termination, website downtime, third-party platform issues, payment processor limitations, or affiliate promotional activity.

Vertex Labs does not guarantee any specific level of traffic, sales, commissions, approval, ranking, conversion rate, or payout amount.
