1. Agreement, eligibility & approval

These Affiliate Terms (“Terms”) govern participation in the affiliate program operated by Greenrock Investment Group LLC, doing business as Vertex Labs (“Vertex,” “we,” “us” or “our”), at vertexpeptideslab.org. “You” means the participating affiliate and, where applicable, the business that person is authorized to represent.

You must be at least 21 years old, have legal capacity to contract, and provide accurate identity, contact, operating-country and payment information. A business representative must have authority to bind that business. Participation requires manual approval by Vertex and your express acceptance of these Terms. An application or account registration alone does not constitute approval.

Vertex may decline an application for lawful reasons, including unsuitable promotional methods, audience relevance, inaccurate information or compliance concerns. Approved affiliates must keep their information current and use only the channels and methods approved for their participation.

These Terms control affiliate commissions and participation. Customer purchases remain subject to our Terms & Conditions and applicable order policies. A separate written agreement expressly accepted by Vertex and the affiliate controls only the provisions it specifically changes.

2. International participation & sanctions

Eligible affiliates may operate in the United States, Puerto Rico or other permitted jurisdictions. International applicants must disclose their country of residence and the country or countries from which they operate. Business applicants must also identify their country of establishment. Notify Vertex promptly of a change.

Vertex does not accept affiliates based in countries or territories subject to comprehensive U.S. sanctions, or where participation or payment is prohibited by applicable U.S. sanctions. You must not be a blocked or otherwise prohibited person, act for one, or be an entity blocked under applicable ownership rules, including OFAC’s 50 Percent Rule.

You must comply with applicable U.S. laws, including advertising, consumer protection and sanctions requirements, and applicable laws where you reside, operate or direct your activities. Do not conceal your location, beneficial ownership or payment recipient, or use another person or account to evade restrictions. Vertex may request information reasonably needed to assess eligibility or process a lawful payment.

International affiliate participation does not expand our delivery area. Vertex accepts product orders only for delivery within the United States and Puerto Rico. Affiliates must not advertise international product delivery or arrange forwarding to evade delivery or legal restrictions.

3. Commission calculation

The standard commission is 25% of the eligible product subtotal actually paid after discounts. Taxes, shipping charges and other non-product charges are excluded. Complimentary items generate no commission.

Customer payment-processing fees are not deducted from the commission base or the resulting commission. Commissions are calculated in U.S. dollars and rounded to the nearest cent.

An eligible order must be correctly attributed under Section 4, paid, delivered and generated through permitted activity. Canceled, unpaid, fraudulent or fully refunded orders do not qualify. Partial refunds reduce the commission only by the portion attributable to refunded product value.

Purchases you make for yourself, your own business or on your own behalf do not earn commissions unless Vertex expressly approves them in writing. Artificial orders, circular payments and arrangements intended to manufacture commissions are prohibited. No commission is earned merely for recruiting another affiliate.

4. Referral links & coupon attribution

Approved affiliates receive an assigned referral link and/or affiliate coupon. Only a valid coupon assigned to an affiliate counts as an affiliate coupon; a general store promotion is not automatically an affiliate referral.

• Coupon priority: When an order uses a valid affiliate coupon, the commission belongs to the affiliate assigned to that coupon, even if the customer previously clicked another affiliate’s link.
• Last valid referral: If no affiliate coupon is used, the last valid affiliate-link click recorded within the 30 days before the order receives attribution. A later valid affiliate click replaces the earlier link attribution and begins a new 30-day window.
• One commission per order: The same order does not generate duplicate commissions for multiple affiliates.
• No lifetime assignment: Each later purchase must independently qualify through a valid affiliate coupon or a referral still within its 30-day window.

Tracking can be affected by browser settings, consent choices, deleted cookies, device changes or technical problems. Affiliates must not bypass privacy choices or manipulate tracking. If an order appears incorrectly attributed, contact Vertex with available referral and order evidence. We will review the records against these rules; an automated dashboard result does not prevent correction of an established error.

5. Commission availability & withdrawals

An eligible commission becomes available for withdrawal five calendar days after the customer receives the completed order, subject to the specific adjustments or holds described in these Terms. This period begins from actual delivery, not the order date, label creation or a premature “completed” status. For an order delivered in parts, it begins when the final part is received.

There is no minimum withdrawal amount. Payments are not automatic. You must request a withdrawal through the Affiliate Portal or by contacting info@vertexpeptideslab.org from your registered email address.

Vertex processes valid requests without undue delay after checking the available balance and required payment information. The five-day period determines when you can request payment; it is not a promise that a transfer will reach your bank or payment account within five days of customer delivery.

Payment is made through a lawful, available method agreed with you. No particular payment provider, destination currency or international payment route is guaranteed. Any transfer charge or currency conversion that would affect the amount you receive must be disclosed and agreed before the transfer. Customer payment-processing fees remain excluded from commission deductions.

You must provide accurate recipient information and any documentation reasonably required for lawful payment. You are responsible for taxes legally payable by you. Vertex may request tax documentation, report payments and apply withholding when required by law. A legally required withholding is separate from the commission calculation.

If a request cannot proceed because of missing information, an affected-order review or a provider restriction, we will explain the issue and the next steps where legally permitted. A provider problem does not by itself cancel a valid commission; we will seek an available lawful alternative. Funds subject to sanctions or other legal restrictions will be handled as required by law.

6. Refunds, adjustments & commission disputes

Commissions remain subject to correction for refunds, successful chargebacks, duplicate credits, attribution errors, fraud or orders obtained through a material violation of these Terms. A pending chargeback or documented compliance concern may result in a temporary hold on the affected commission while it is reviewed.

A free replacement for a lost, damaged or incorrect shipment does not generate a second commission and does not by itself cancel the commission on the original paid order. For a lost shipment, the withdrawal waiting period begins when the completed replacement order is received.

If an adjustment affects a commission already paid, Vertex may offset the documented overpayment against later commissions or request repayment of that overpayment. We will identify the affected transaction and reason, subject to privacy and legal restrictions, and give you an opportunity to dispute an error. We do not impose an additional commission penalty merely because a customer raises a legitimate concern.

Contact info@vertexpeptideslab.org promptly about an incorrect balance, missing referral or withdrawal issue. Include your affiliate identifier, the relevant date and the order reference if available. A dispute concerning one transaction does not automatically forfeit unrelated valid commissions.

7. Research-use promotional standards

Promotions must accurately present Vertex materials as supplied solely for lawful laboratory, analytical and non-clinical research. Direct referrals only to purchasers aged 21 or older who meet our Research Use Only & Purchaser Eligibility Policy.

You must not, directly or by implication:

• Promote human or animal consumption, injection, administration, personal experimentation, clinical use, compounding for administration, or medical or veterinary treatment.
• Make claims about weight loss, appetite control, muscle growth, recovery, anti-aging, sexual performance, disease treatment or other human or animal outcomes from Vertex products.
• Provide doses, injection instructions, administration schedules, personal-use reconstitution directions or treatment protocols in connection with a Vertex promotion.
• Use personal-use testimonials, before-and-after images, transformation claims or demonstrations of administration to market Vertex materials.
• Describe Vertex materials as FDA approved, clinically proven, safe for consumption, prescription substitutes or equivalent to an approved medicine.
• Use coded language, fictional research subjects or “educational only” wording to communicate a prohibited use indirectly.

A research-use disclaimer does not cure a contradictory message. These restrictions apply to captions, videos, images, hashtags, links, direct messages and any third-party content you adopt or repost as part of a promotion.

Claims about testing must match the relevant lot-specific COA. Do not alter reports, apply one lot’s result to another, imply every vial was individually tested, or present a purity result as evidence of sterility, endotoxin testing or suitability for administration. Do not claim certifications, manufacturing origin or testing beyond what Vertex has documented and authorized for the specific promotion.

8. Affiliate & sponsorship disclosures

Clearly disclose your financial relationship with Vertex wherever you promote an affiliate link, coupon or recommendation. The disclosure must be easy to notice and understand, in the same language as the promotion, and close to the recommendation and link or code.

For a commission-based promotion, use a clear statement such as:

“I earn a commission on qualifying purchases made through my Vertex Labs link or code.”

Also disclose any additional sponsorship, free products or other material benefit relevant to the promotion. Do not hide the disclosure in a profile, behind “more,” among hashtags or only on a separate page. “Affiliate link” alone may not explain that you receive compensation.

Video disclosures must appear in the video; use both spoken and visible disclosure when the endorsement uses both sound and images. Repeat disclosures during live streams so later viewers receive them. A platform’s paid-partnership tool supplements, rather than replaces, an adequate disclosure.

Endorsements must be truthful. Do not invent experiences, credentials, reviews or scientific support. Follow applicable FTC endorsement requirements and any additional laws or platform rules that apply to your activity.

9. Marketing, coupons & traffic rules

• Paid advertising: Obtain Vertex’s written approval before running paid campaigns using its name, products, assets or affiliate links. This includes paid search, paid social, boosted posts and creator-account advertising. Approval does not permit prohibited claims or platform-policy violations.
• Brand protection: Do not bid on Vertex brand terms or confusing variations, create impersonating accounts or domains, or present your channel as an official Vertex channel without written authorization.
• Authentic referrals: No bots, fabricated clicks, forced redirects, cookie stuffing, hidden tracking, browser-extension injection, intercepted checkouts or unauthorized replacement of another affiliate’s code.
• Accurate offers: Use only authorized discounts. Do not invent expiration dates, savings, free items, delivery guarantees or customer eligibility. Do not submit codes to coupon directories, deal networks or cashback services without approval.
• Lawful outreach: No spam, purchased contact lists, unsolicited bulk messages, deceptive sender information or contact after an applicable opt-out. Email, text and telephone campaigns require prior written approval and compliance with applicable consent and marketing laws.
• Appropriate audience: Do not target people under 21 or audiences seeking personal, medical or veterinary use. Do not promise product access outside Vertex’s approved delivery area.
• No unauthorized intermediaries: Do not delegate promotion to sub-affiliates, networks or other promoters without written approval. Do not collect customer payments, place orders in customers’ names or make commitments on Vertex’s behalf.

Approval of one asset, channel or campaign does not approve later edits or unrelated campaigns. Stop using an expired, withdrawn or noncompliant promotion when notified. These rules do not restrict lawful criticism, safety reporting or communications with regulators.

10. Brand assets & content rights

During approved participation, Vertex grants you a limited, nonexclusive, revocable and nontransferable permission to use the brand assets it supplies or expressly approves solely for permitted program promotion. Vertex retains ownership of its trademarks, logos, website materials and other intellectual property.

Do not materially alter an approved logo, product image, label or report, remove research-use restrictions, or imply an employment, clinical, regulatory or exclusive relationship that does not exist. You must have the necessary rights to all other content, music, images and appearances you use.

You retain ownership of your original content. Program participation does not automatically grant Vertex unrestricted rights to your name, likeness or content, or permission to run advertisements through your account. Any content license, paid usage, account authorization or exclusivity arrangement must be separately agreed in writing.

11. Compliance review, suspension & termination

Vertex may review promotional channels, request relevant campaign records, and require correction or removal of noncompliant material. Cooperate with reasonable requests and preserve relevant records during an active investigation. Do not send unnecessary customer personal information.

Vertex may suspend affected links, coupons, campaigns or commissions while investigating a specific concern, and may terminate participation for a material breach, fraud, prohibited promotion or loss of eligibility. Immediate action may be taken where needed to prevent ongoing harm or comply with law. We will explain the action where legally permitted.

Either party may end participation by written notice. On termination, stop new affiliate promotion and remove or disable promotional uses of Vertex assets and affiliate links or codes under your control. No new referral entitlement arises after termination unless expressly agreed.

Termination alone does not erase valid commissions on eligible orders placed before termination. Those commissions remain subject to delivery, the five-day waiting period, applicable adjustments and a withdrawal request. Unrelated valid earnings will not be forfeited solely as a penalty. Legally restricted funds remain subject to applicable law.

Vertex’s approval or review does not excuse your violations, and these Terms do not transfer away responsibilities that the law places on Vertex.

12. Affiliate privacy & account security

Our Privacy Policy explains Vertex’s information practices and applicable privacy choices. Program administration involves application and contact details, country and business information, approved promotional channels, referral and commission records, communications, and payment or tax information needed for a requested payment.

We use relevant program information to assess applications, administer referrals and payments, address disputes, prevent abuse and meet legal obligations. Information may be handled by providers supporting those functions, including an agreed payment provider, as described in our Privacy Policy. A provider may have its own privacy notice and verification requirements.

Protect your account credentials. Use any customer or order information accessible through the program only for authorized commission administration. Do not export it to build marketing lists, contact customers without authority, sell it or share it with unauthorized parties. Report suspected unauthorized account access or disclosure promptly.

Acceptance of these Terms is not consent to unrelated promotional emails, optional advertising cookies or other processing that requires separate consent. Affiliate tracking must respect applicable privacy choices.

13. Independent status & responsibility

Affiliates participate as independent businesses or contractors. These Terms do not authorize you to bind Vertex, provide advice on its behalf, accept customer funds or represent yourself as its employee, agent or exclusive representative. You are responsible for your promotional expenses unless reimbursement is expressly agreed in writing. No level of traffic, sales or earnings is guaranteed.

To the extent permitted by law, you are responsible for reasonable losses and legal costs arising from third-party claims directly caused by your unlawful promotion, fraud, infringement of another party’s rights or material breach of these Terms. This responsibility does not extend to losses caused by Vertex’s own negligence or misconduct, or to duties that cannot lawfully be transferred.

To the extent permitted by law, neither party is liable to the other for indirect or consequential losses or speculative future earnings arising from program participation. This exclusion does not limit payment of valid earned commissions, liability for fraud, willful misconduct or gross negligence, the third-party claim obligations above, or any liability that cannot lawfully be excluded.

14. Changes, governing law & disputes

Vertex may update these Terms prospectively. Material changes, including changes to commission rates, attribution or withdrawal rules, will be communicated through the registered email address or Affiliate Portal before they apply, with a stated effective date and additional notice or renewed agreement where required by law.

A later update will not retroactively reduce commissions validly earned under the applicable earlier terms. You may end participation before a change takes effect. Retain a copy of the terms you accept.

Florida law governs this agreement, without displacing mandatory protections under other applicable law. Subject to those protections and required jurisdiction, disputes must be brought in the appropriate state or federal courts serving Miami-Dade County, Florida. These Terms do not impose mandatory arbitration or a class-action waiver.

You may contact Vertex to seek informal resolution. Doing so is not a prerequisite to a lawful regulatory complaint or court claim, and does not suspend a legal deadline unless agreed or required by law.

If a provision is unenforceable, the remaining provisions continue to the extent permitted by law. Failure to enforce a provision does not itself waive it. These Terms and any expressly agreed written amendments form the agreement for program participation; no provision removes a right or remedy that cannot lawfully be waived.
