1. Operator and agreement

These Terms & Conditions (“Terms”) govern the website vertexpeptideslab.org and purchases from Greenrock Investment Group LLC, doing business as Vertex Labs (“Vertex,” “we,” “us,” or “our”). “You” means the purchaser or website user and, when applicable, the organization that person is authorized to represent.

Read these Terms before ordering. By affirmatively accepting them at checkout or otherwise expressly agreeing to them, you enter into an agreement with Vertex. If you do not agree, do not place an order.

Our Refund, Returns & Cancellation Policy is incorporated into these Terms. Shipping and promotional conditions disclosed before checkout also apply to the relevant order. If a general website policy conflicts with these Terms, these Terms control. Express commitments for your particular order and rights that applicable law does not allow us to exclude remain protected.

Our Privacy Policy explains our information practices. Accepting these Terms does not, by itself, constitute consent to optional marketing or advertising tracking.

2. Purchaser eligibility

We accept orders from businesses, research organizations, and individual researchers who satisfy these Terms. You must be at least 21 years old, have legal capacity to contract, and have the knowledge, training, and facilities appropriate for the lawful research activities and materials involved.

If you purchase for an organization, you represent that you have authority to place the order and bind that organization. Purchaser, billing, shipping, and other information you submit must be accurate.

Age and research-use acknowledgments are purchaser declarations. They do not constitute independent verification of identity, professional credentials, laboratory facilities, or the suitability of an intended experiment. You remain responsible for the truthfulness of your declarations and compliance with the eligibility requirements.

We may decline or cancel an order when there is a reasonable basis to believe it involves fraud, an unlawful transaction, or a purpose inconsistent with these Terms. Any payment for an order we do not fulfill will be refunded as applicable.

3. Permitted research use

Products are supplied solely for lawful laboratory and analytical research. You may not purchase, use, formulate, distribute, relabel, or promote them for:

• Human or animal consumption or administration, including personal experimentation.
• Medical treatment, diagnosis, disease prevention, therapeutic use, clinical care, or veterinary use.
• Compounding or preparing a product intended for administration to a person or animal.
• Use as food, a dietary supplement, a cosmetic, or a household or recreational product.
• Any other purpose prohibited by applicable law or the product’s stated research-use restrictions.

You must follow applicable requirements for possession, storage, laboratory handling, transport, and disposal. You must not transfer a product to a person you know or reasonably suspect intends a prohibited use. Any lawful onward transfer must preserve product identification, applicable safety information, and research-use restrictions.

Neither a sale nor a research-use label grants regulatory approval, a professional license, or authorization for an otherwise prohibited activity.

4. Product information and Certificates of Analysis

Review the specific product listing, supplied form, nominal quantity, and available lot documentation before ordering. A quantity expressed in milligrams identifies product content; it is not a dose or an administration instruction.

A Certificate of Analysis (“COA”) reports results for the sample, lot identifiers, and analytical methods stated in that document. It should not be assumed to cover another lot, vial size, chemical form, or a test that is not listed. Available reports can be reviewed through our COA page.

Chromatographic purity and measured compound quantity are different measurements. A purity result does not establish sterility, the absence of endotoxins or other contaminants, or suitability for human or animal administration.

Contact us before ordering if a report is missing or does not appear to match the product. If a material description, quantity, or documentation error is discovered after an order, we will address the discrepancy and provide the applicable remedy. We will not substitute a materially different product without your agreement.

5. Orders and acceptance

An automated order receipt acknowledges that we received your submission; it does not by itself constitute final acceptance. We accept an order when we expressly confirm acceptance or dispatch it, whichever occurs first, subject to applicable law.

Orders remain subject to stock availability, payment authorization, and compliance with these Terms. We may refuse or cancel an order because of unavailable stock, a material listing error, suspected fraud, an applicable legal or delivery restriction, or a prohibited intended use. We may also apply quantity limits disclosed before acceptance.

If we cannot accept or fulfill a paid order, we will notify you and refund the amount due. Order review does not extend any legally applicable shipment or refund deadline.

6. Prices, payment, and promotions

Prices are stated in U.S. dollars. The applicable product price, discount, shipping charge, tax, and any other disclosed charge are shown before you submit your order. Prices and availability may change for future orders; we will not increase an accepted order’s price without your agreement.

You must be authorized to use the payment method you provide. Payment may be processed by a third-party provider, including through a hosted payment page. An authorization or charge is not a representation that a product is suitable for a particular research purpose.

Discount codes, complimentary items, and shipping promotions are subject to the conditions disclosed with the relevant offer, including eligibility, expiration, minimum purchase, and any stated exclusions. A complimentary research material is subject to the same eligibility and use restrictions as a purchased product.

If a material pricing error affects an order, we will explain the error and offer cancellation with the applicable refund or seek your agreement to a corrected order. We will not automatically charge a higher amount.

7. Shipping and delivery

We accept orders for delivery only within the United States and Puerto Rico, to destinations and through services available at checkout. We do not offer international shipping.

You must provide a complete and accurate delivery address and make reasonable arrangements to receive the shipment. Contact us promptly about an address error; a change may not be possible after dispatch.

Carrier transit estimates are not guaranteed arrival dates unless we expressly state otherwise. Any shipping commitment we make remains subject to its disclosed conditions and applicable law. If we cannot ship within the promised period, or within the legally applicable period when no shipment time is stated, we will provide the required delay notice and cancellation or refund options. Where required, we will obtain your agreement to a delay or cancel and refund the unshipped portion.

If a shipment is missing, damaged, or appears to have been delivered incorrectly, contact us for review. Carrier acceptance or a tracking status alone does not automatically resolve responsibility for a disputed shipment. We will consider the order records, address information, delivery evidence, and applicable law.

After proper delivery, you are responsible for reasonable security, storage, handling, and lawful use of the materials. This does not remove responsibility for a defect, shipping error, or other issue attributable to Vertex.

8. Cancellations and returns

To request cancellation, email info@vertexpeptideslab.org promptly with your order number. Cancellation requests must be received before shipment and require confirmation from Vertex. If cancellation is approved before shipment, we will issue a 100% refund for the canceled order to the original payment method. Creating a shipping label alone does not constitute shipment.

Once an order has shipped, change-of-mind cancellation is unavailable. We do not accept change-of-mind returns of research materials, including products ordered by mistake or no longer needed.

These restrictions do not eliminate remedies for incorrect goods, non-delivery, defective or materially nonconforming products, or other rights that cannot lawfully be waived.

Do not return a material without instructions from us. A claim may be resolved without a physical return when handling or chain-of-custody considerations make that appropriate. Additional procedures appear in our Refund, Returns & Cancellation Policy.

9. Order and quality concerns

Report damaged, missing, incorrect, mislabeled, or potentially nonconforming items as soon as reasonably possible. Include your order number, product and lot information, a description of the issue, and relevant photographs or documents when available.

If you suspect a product or labeling problem, set the affected material aside, stop using it in the research workflow, and preserve its container, packaging, and available records while the issue is assessed. Do not perform an unsafe test or return shipment to establish a claim.

We may request reasonable information relevant to the investigation. We will address an established order problem through an appropriate replacement, refund, or other remedy required by applicable law. Store credit will not be imposed in place of a legally required monetary refund.

A request for prompt reporting does not shorten a mandatory legal deadline. Nothing in these Terms requires you to withdraw an honest review or waive a lawful payment dispute to receive a remedy to which you are entitled.

10. Accounts and website conduct

Keep your account information accurate and protect your login credentials. Notify us promptly if you suspect unauthorized access or an unauthorized order.

You may not impersonate another person, submit false purchaser declarations, bypass access controls, introduce malicious code, obtain unauthorized access to data or systems, or interfere with the website’s operation.

We may restrict account access or suspend ordering privileges for a material breach, suspected fraud, a security concern, or a legal requirement. A restriction does not eliminate a refund obligation or other right associated with an existing order.

11. Research information and support

Articles, scientific references, product descriptions, and other educational materials are provided for research discussion. They do not establish that a Vertex product is suitable for a particular experiment, validate a protocol, or authorize a prohibited use.

Customer support can assist with orders, product identification, available analytical documentation, and related research-material questions. It does not provide medical or veterinary advice, dosing recommendations, treatment plans, or instructions for personal-use administration or reconstitution.

You are responsible for evaluating relevant scientific sources and determining whether a material and method are appropriate for your lawful research. This responsibility does not excuse an inaccurate product description or an unfulfilled express commitment by Vertex.

12. Intellectual property and reviews

Vertex and its licensors retain their respective rights in original website content, branding, graphics, and design. Third-party laboratory reports, trademarks, and other materials remain subject to their owners’ rights. References to a chemical compound or third-party name do not imply ownership of that compound or endorsement by its developer.

You may access and retain product and order information for legitimate evaluation, research recordkeeping, and other uses permitted by law. Reproduction or commercial exploitation beyond those permissions requires authorization from the relevant rights holder.

Nothing in these Terms prohibits lawful quotation, criticism, honest reviews, regulatory complaints, or other protected activity. Posting a review does not transfer ownership of that review to Vertex.

13. Privacy and third-party services

Our Privacy Policy describes how personal information is handled. Please use the contact information in that policy for privacy requests.

Payment providers, carriers, and linked third-party websites may have their own terms and privacy practices. A link does not imply sponsorship or endorsement. Use of an external provider does not remove obligations that applicable law places on Vertex as the seller.

Order-related communications are distinct from optional promotional communications. Acceptance of these Terms alone is not permission for unrelated marketing.

14. Warranties

Vertex remains responsible for express product descriptions and commitments that form part of a sale and for warranties or remedies that applicable law does not allow us to exclude. We do not guarantee a particular experimental result or suitability for an undisclosed or prohibited purpose.

The website is provided on an “as available” basis. We do not guarantee uninterrupted access or error-free operation. This does not exclude responsibility for a misrepresentation, an accepted order, or a legal obligation that cannot be disclaimed.

Some jurisdictions restrict warranty exclusions. Where an exclusion is not permitted, the applicable warranty remains in effect.

15. Limitations of liability

These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by our negligence, or any liability or remedy that applicable law does not allow us to limit. They do not reduce a refund or replacement expressly owed under these Terms.

If an exclusion or limitation is unenforceable, or a limited remedy fails its essential purpose, applicable law governs the available remedies.

16. Claims arising from misuse

To the extent permitted by law, you agree to indemnify Vertex for reasonable losses and legal costs arising from a third-party claim, but only to the extent directly caused by your fraud, unlawful conduct, or knowing use or distribution of a product for a prohibited purpose.

This provision does not apply to a claim caused by a product defect, Vertex’s negligence or misconduct, or a responsibility that law does not permit us to transfer. It does not require you to indemnify Vertex merely because you bring a claim against us.

We must give you reasonably prompt notice of an indemnity claim and a reasonable opportunity to participate in its defense. We may not agree to a settlement that requires your payment, admission, or other obligation without your written consent.

17. Governing law and disputes

Florida law governs these Terms, without displacing mandatory protections that apply to you under other applicable law.

Subject to those protections and a court’s required jurisdiction, disputes arising from these Terms or an order must be brought in the appropriate state or federal courts serving Miami-Dade County, Florida. If applicable law gives you a nonwaivable right to bring a claim elsewhere, that right is preserved.

You may contact info@vertexpeptideslab.org to seek an informal resolution. Contacting support is not a prerequisite to a lawful regulatory complaint or payment dispute and does not suspend a legal deadline unless agreed or required by law.

These Terms do not require mandatory arbitration or waive a right to participate in a class action where that right exists.

18. Changes and general provisions

We may update these Terms prospectively by publishing a revised version with a new effective date. Additional notice or renewed agreement will be provided when required by applicable law.

The version you accepted for an order governs that order. A later update does not retroactively change an earlier order unless a lawful change is expressly agreed. You may retain a copy for your records.

If a provision is unenforceable, the remaining provisions continue to the extent permitted by law. A failure or delay in exercising a right does not, by itself, waive that right.

These Terms, incorporated policies, and any specific terms expressly agreed for an order form the agreement for that transaction. Nothing in this provision excludes liability for a misrepresentation or removes a binding express warranty.
